Welcome to Ad IntellX. These Terms of Service ("Terms") govern your use of the Ad IntellX platform and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, connecting your advertising accounts, or using any Ad IntellX services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Ad IntellX provides:

• Algorithm Detection: AI-powered analysis of advertising platform algorithms to detect suppression and performance anomalies
• Performance Monitoring: Real-time tracking of ad campaign metrics across Meta (Facebook/Instagram), Google Ads, TikTok, and LinkedIn
• AI Recommendations: Automated optimization suggestions powered by artificial intelligence
• Campaign Analytics: Comprehensive dashboards and reporting for advertising performance

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to bind yourself or your organization to these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately at savalas@adintellx.com if you suspect unauthorized access.

4. Third-Party Platform Integration

4.1 Meta (Facebook/Instagram)

By connecting your Meta advertising accounts, you authorize Ad IntellX to access your advertising data via the Meta Marketing API. Your use of Meta's services remains subject to Meta's Terms of Service.

4.2 Other Platforms

Similar authorizations apply when you connect Google Ads, TikTok, LinkedIn, or other advertising platforms. Each platform's terms of service continue to govern your use of their services.

4.3 Data Access

We access only the advertising performance data necessary to provide our algorithm detection services. We do not access personal data of individuals who interact with your ads.

5. Subscription and Payment

5.1 Fees

Ad IntellX operates on a subscription basis. Current pricing is available at checkout. All fees are quoted in US Dollars unless otherwise stated.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payments are processed securely through Stripe.

5.3 Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion. You may cancel your subscription at any time, but no refund will be provided for the current billing period.

5.4 Price Changes

We may change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree NOT to:

• Use our services for any illegal purpose or in violation of advertising platform policies
• Attempt to reverse engineer, decompile, or extract our proprietary algorithms
• Share your account credentials or allow unauthorized access
• Interfere with or disrupt our services or servers
• Use automated systems to access our services without permission
• Misrepresent your identity or affiliation
• Use our AI recommendations to create misleading or deceptive advertisements

7. Intellectual Property

7.1 Our Property

Ad IntellX, our logo, algorithms, software, and all related intellectual property are owned by Ad IntellX. You receive a limited, non-exclusive license to use our services during your subscription.

7.2 Your Content

You retain ownership of your advertising data. By using our services, you grant us a license to process your data solely to provide our services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by Ad IntellX without compensation or attribution.

8. Disclaimers

8.1 Service Availability

Our services are provided "as is" and "as available." We do not guarantee uninterrupted or error-free service.

8.2 Algorithm Detection Accuracy

While we strive for high accuracy in detecting algorithm changes, we cannot guarantee 100% detection accuracy. Our AI recommendations are suggestions only and do not guarantee advertising success.

8.3 Third-Party Platforms

We are not responsible for changes to third-party advertising platforms, their APIs, or their policies. Platform changes may affect our ability to provide services.

9. Limitation of Liability

To the maximum extent permitted by law:

• Ad IntellX is not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims is limited to the amount you paid for services in the 12 months preceding the claim
• We are not liable for losses resulting from following or not following our AI recommendations

10. Indemnification

You agree to indemnify and hold harmless Ad IntellX, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any rights.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings or by contacting us.

11.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or for any reason with 30 days' notice.

11.3 Effect of Termination

Upon termination, your access to our services will cease. We will delete your data in accordance with our Privacy Policy.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. General Provisions

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Ad IntellX
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign your rights under these Terms without our consent
